Governing Bodies

AEB has a corporate governance system that includes the General Assembly, made up of all its member banks, and the General Council and the person holding the Presidency.

The General Assembly of Members

AEB’s General Assembly is made up of all its member banks. It is the responsibility of the Assembly to appoint the members of the General Council in accordance with the provisions of the Bylaws and to elect the President of the Association, approve the management report, the budget, and the contributions of its members for the maintenance of the Association.

The General Council

The General Council is made up of the President and the members elected by the General Assembly to represent full members.

AEB’s Secretary General attends the Council meetings, reporting on matters related to the management and activities of the Association, which he or she is responsible for coordinating and directing.

The General Council must ensure that the Association’s actions comply with the guidelines set by the General Assembly, adopt the decisions and resolutions required for matters of particular importance, and be informed of the actions carried out by the Association. Among its most important functions is also the appointment of the Secretary General at the President’s proposal, and reviewing and approving all matters to be submitted to the General Assembly.

The Presidency

Among other functions, the Presidency of the Association is responsible for chairing meetings of AEB’s governing bodies, ensuring compliance with the general guidelines for the Association’s actions set by the General Assembly, and overseeing compliance with the resolutions adopted by the Assembly and by the other governing bodies.

It also legally represents the Association in all types of acts and before any natural or legal persons, public or private.

Since its creation in 1977, AEB has had five Presidents:

  • Rafael Termes (1977–1990)
  • José Luis Leal (1990–2006)
  • Miguel Martín (2006–2014)
  • José María Roldán (2014–2022)
  • Alejandra Kindelán (2022–present)

Currently, since 2022, AEB’s Presidency has been held by Alejandra Kindelán, who has taken on the goal of strengthening the banking sector’s contribution to the economy and bringing banking ever closer to society. In her role, she maintains active dialogue with authorities and economic stakeholders, takes part in public debates, and has become a leading figure in Spain’s banking sector.
